1. Attorney’s Fees

As you go through the process of forming your new limited liability company, there are always a lot of questions that come up before, during, and after the creation of the company.

Questions about:

What is the best type of entity for the business? Should it be an S corporation instead?

How do you complete your formation LLC documents?

What is sole proprietorship or partnership, and what is best for you?

The biggest problem small business owners have when setting up a Limited Liability Company is finding the person who truly understands their particular situation. Nearly no one can answer their unique questions, or provide insight to options specific to their business. General online advice the find on the internet does not help. There is no way it can fully comprehend and respond to your problems—it does not have the answer.

The majority of small business owners that work with our office want us to:

1) provide them a complete set of LLC

2) more importantly, be available to guide them through the steps AND ANSWER QUESTIONS to correctly set up their limited liability company.

Our fees to form a new limited liability company and to act as your legal guide through the process is $1,987.00. The initial retainer is $1,000.00 down and the balance payable as soon as I have all the LLC documents ready to sign (approximately 2-4 weeks); and, then $625.00 per year (due at the end of the first year) to take care of the Annual LLC Record Maintenance.

Preparation of Documents

Articles of Organization;

Operating Agreement;

Minutes of the sole organizer;

I will prepare and file these federal forms with the Internal Revenue Service as necessary: SS-4 and W-9.

I will prepare and file these state forms: Annual Statement of Information Form LLC-12 with the Secretary of State and Form 25102f with the Department of Business Oversight.

I will pay for the filing fees with the Secretary of State, supply the LLC kit and messenger fees which will come to approximately $350.00.

I will provide you with a banking package so you can easily open an LLC banking account

I will provide you with an accountant package so your CPA can be prepared for tax time.

I will provide you with my “I Just Have Quick Question™” service. It is very common that, during the year, our clients will have questions that arise regarding their LLC and LLC documents. You may call us if you have any questions about your LLC records and we will answer those questions at no additional charge to you.

I will provide you with a PDF version of the LLC records.

NOTE: Potential Extra Fees:  Expedition fee with the Secretary of State (Optional).

The turnaround time from the California Secretary of State is running approximately 3-4 weeks. If you need a faster turnaround time to meet personal deadlines, you will be charged an additional $550.00 rush fee by the Secretary of State for expedited processing. It did not seem that it was necessary to pursue this topic when we spoke on the telephone, but I do want you to know that it is available if you choose.

2. Annual LLC Record Maintenance (Required) – $625 per year

Once we get your company up and running, there will need to be a certain, minimum amount of legal work that needs to be done with your corporate records to keep your LLC legal formalities maintained and your LLC corporate veil in place.

I will become your Resident Agent for Service of Process with the state;

I will prepare the Annual Working Agenda for the Managers;

I will prepare the Notice of the Meeting of the Managers;

I will prepare the Minutes of the Managers;

I will prepare the Preparation of the Annual Working Agenda for the Members;

I will prepare the Notice of the Meeting of the Members;

I will prepare the Minutes of the Members;

I will prepare and file the Annual Statement of Information LLC-12;

I will provide the “I Just Have Quick Question™” service.
