Pricing Budget & Services Breakdown

1. Attorney’s Fees

As you go through the process of incorporation for your new corporation, there are always a lot of questions that come up before, during, and after the formation of the company.

Questions about:

What is the best type of entity for your business?

What are the necessary formation corporate documents?

What S-election options are available?

What do you need to annually maintain your corporate documents?

How do you correspond with the government or anything that comes from the Internal Revenue Service, California Franchise Tax Board, and Secretary of State?

How do you document fictitious names (DBAs)?

How do you properly document and transfer corporate shares to your family trust?

and on and on—It can be overwhelming and discouraging.

The biggest problem small business owners have when forming a new corporation is finding someone to answer their specific questions about their particular situation. General online advice they find on the internet does not help them; it does not solve the problems specific to their business.

The vast majority of small business owners that work with our office want us to:

(1) provide them a complete set of  corporate documents

(2) and, more importantly, be available to guide them through the steps AND ANSWER QUESTIONS to correctly open their corporation.

Our fees to form a new corporation and to act as your legal guide through the process is $1,987.00. The initial retainer is $1,000.00 down and the balance payable as soon as I have all of the corporate documents ready to sign (approximately 2-4 weeks); and, then $625.00 per year (due at the end of the first year) to take care of the Annual Corporate Record Maintenance.

Preparation of Documents

I will prepare the following documents for you, so the corporation is complete when I am done:

Articles of Incorporation;

Bylaws;

Minutes of the sole incorporator;

Minutes of the Board of Directors;

Minutes of the Shareholders;

Share Certificate Ledger;

Completed Share Certificates;

I will prepare and file these federal forms with the Internal Revenue Service as necessary: 2848, 2335, SS-4, and W-9.

I will prepare and file these state forms: SI550 with the Secretary of State and 25102f with the Department of Business Oversight.

I will provide you with a banking package so you can easily open a corporate banking account.

I will provide you with an accountant package so your CPA can be prepared for tax time.

I will pay for the filing fees with the Secretary of State, pay for the corporate kit, and messenger fees which will come to approximately $350.00.

NOTE: Potential Extra Fees- Expedite fee with the Secretary of State (Optional)

The turnaround time from the California Secretary of State is running approximately 2-3 weeks. If you need a faster turnaround time to meet personal deadlines, you will be charged an additional  $550.00 rush fee by the Secretary of State for expedited processing.

2. Questions and Answers – Legal Consultation

I will provide you with my “I Just Have Quick Question™” service. It is very common that, during the course of the year, our clients will have questions that arise regarding their corporations and corporate documents. You may call us if you have any questions about your corporate records and we will answer those questions at no additional charge to you.

I will provide you with a PDF version of the corporate records.

3. Annual Corporate Record Maintenance (Required) – $625.00  per year

One of the concerns most people have about starting a corporation is the time and difficulty in maintaining the annual corporate legal formalities. We provide a service to our clients to make this easy and give them peace of mind that it is done correctly and on time.

Once we get your corporation up and running, there will need to be a certain minimum amount of legal work that must be done with your corporate records in order to keep your corporate formalities maintained and your corporate veil in place.

I will become your Resident Agent for Service of Process with the state;

I will prepare the Annual Working Agenda for the Board of Directors;

I will prepare the Notice of the Meeting of the Board of Directors;

I will prepare the Minutes of the Board of Directors;

I will prepare the Preparation of the Annual Working Agenda for the Shareholders;

I will prepare the Notice of the Meeting of the Shareholders;

I will prepare the Minutes of the Shareholders;

I will prepare and file the Annual Statement of Officers and Directors with the Secretary of State. SI200C;

I will provide the “I Just Have Quick Question™” service.
