Corporate Documents Only

If you know exactly what type of business entity that you want and you do not need or want any legal consultation or expert guidance, you are at the right place for Corporate Documents Only pricing.

There are fees to form a new corporation with our Corporate Documents Only Service.

Here are the steps to use this program:

  1. You will complete our Corporate questionnaire and credit card authorization.
  2. You will submit your information to our law office online. We will communicate with you by email once we receive the questionnaire and authorization.
  3. Our law office will provide you a complete set of incorporation documents in digital format once they are completed. All corporate documents will be signed through our encrypted document signing software.

Breakdown of services:

1. Initial Document Preparation

My office will prepare the following documents for you so the corporation is complete when I am done:

Articles of Incorporation;

Bylaws;

Minutes of the sole incorporator;

Minutes of the Board of Directors;

Minutes of the Shareholders;

Share Certificate Ledger;

Completed Share Certificates.

My office will prepare and file these federal forms with the Internal Revenue Service as necessary: 2848, 2335, SS-4 and W-9.

My office will prepare and file these state forms: SI200C with the Secretary of State and 25102f with the Department of Business Oversight.

My office will provide you with a banking package so you can easily open a corporate company banking account.

My office will provide you with an accountant package so your CPA can be prepared for tax time.

My office will provide you with a PDF version of the corporate company records.

My office will pay for the filing fees with the Secretary of State, pay for the corporate company kit and messenger fees.

NOTE: Potential Extra FeesExpedite fee with the Secretary of State (Optional).

The turnaround time from the California Secretary of State is running approximately 2-3 weeks. If you need a faster turnaround time to meet personal deadlines, you will be charged an additional rush fee by the Secretary of State for an expedited processing.

2. Questions and Answers – Legal Consultation

Although some of our clients clear on what they want to accomplish, it is very common that, during the year, that our clients will have questions that arise regarding their corporate documents.

You may call us if you have any questions about your corporation’s records and we will answer those questions. All consultations are billed per hour. We will use your credit card to pay your account once an invoice has been sent to you. We bill your card separately for each new invoice.

3. Annual Corporate Records Maintenance (Required)

One of the concerns most people have about starting a corporation is the time and difficulty in maintaining the annual legal formalities of the corporation. We provide a service to our clients to make this easy and give them peace of mind that it is done correctly and on time.

Once we get your corporation up and running, there will need to be a certain minimum amount of legal work that must be done with your corporate records in order to keep your corporation formalities maintained and your corporate veil in place.

I will become your Resident Agent for Service of Process with the state.

My office will prepare:

the Annual Working Agenda for the Board of Directors;

the Notice of the Meeting of the Board of Directors;

the Minutes of the Board of Directors;

the Preparation of the Annual Working Agenda for the Shareholders;

the Notice of the Meeting of the Shareholders;

the Minutes of the Shareholders;

and file the Annual Statement of Officers and Directors with the Secretary of State, SI200C.
